Terms of service

1. Who you are contracting with

Happy Out trades through two companies. If you are in Ireland or the EU, your contract is with AP Rowell Marketing Ltd and is priced in euro. If you are in the United States, it is with APR Stores LLC and priced in US dollars. Your invoice and payment page will say which.

2. What we do

We design and build websites, and set up automations such as missed-call text-back, review requests, and booking and enquiry follow-up. What is included in your particular job is whatever we agreed in writing, by email or otherwise.

3. How a build works

Whatever we have agreed for your particular job, the following applies to any website we build:

  • We build it from the information you give us. If that information is wrong, the site will be wrong.
  • We may show the finished site in our portfolio and in our own marketing, unless you ask us not to.
  • Hosting and ongoing care are a separate, optional, paid service. We will tell you the price before you commit to anything.
  • We may decline or withdraw from a build at our discretion, for example if the business is not one we are willing to be associated with.

4. Prices and payment

One-off work is quoted before it starts. Hosting and care is a monthly subscription, billed in advance, and continues until you cancel. Payments are handled by Stripe; we never see or store your card details.

Taxes are charged where they apply. If you are a VAT-registered business in the EU outside Ireland, give us your VAT number and the reverse charge applies.

5. Cancelling

You can cancel a monthly subscription at any time and it stops at the end of the period you have already paid for. We do not refund part-months. We do not lock you into a minimum term.

If you cancel hosting, your site stops being served by us. Tell us before you cancel and we will hand over the files and help you point your domain somewhere else. We keep a copy for 30 days after cancellation, then delete it.

6. Who owns what

Your content stays yours: your text, your photos, your logo, your domain. Once the work is paid for, the design and code we made specifically for you are yours too. We keep ownership of the underlying tools, templates and components we reuse across clients, and of anything we built before working with you.

We may reference the work in our portfolio. Say the word and we will not.

7. What we need from you

You are responsible for the accuracy of what you tell us, and for having the right to use any content you send us. Please do not send us anything that is not yours to send. If we are waiting on you for content or a decision, timelines move accordingly.

8. What we promise, and what we do not

We will do the work with reasonable skill and care, and we will fix genuine faults in what we built. We cannot promise specific search rankings, a particular number of enquiries, or that any third-party service we rely on will never have an outage.

Except where the law does not allow it to be limited, our total liability to you is capped at what you have paid us in the twelve months before the claim. We are not liable for lost profits or indirect losses. Nothing here limits liability for death, personal injury or fraud.

9. Ending the arrangement

Either of us can end an ongoing service with 30 days notice. We may suspend or stop a service if an invoice is significantly overdue, or if the service is being used for something unlawful. We will always tell you before we do.

10. Governing law

Contracts with AP Rowell Marketing Ltd are governed by the laws of Ireland and subject to the Irish courts. Contracts with APR Stores LLC are governed by the laws of Wyoming. Consumers keep any rights they have under their own local law.

11. Changes to these terms

We may update these terms. The version that applies to you is the one in force when you agreed to them or, for ongoing services, the version we last told you about. Material changes will be emailed, not quietly posted here.
